Petition to wind up Sunshine Fleet filed

Having received no response to the letter of demand issued by his solicitors on April 13, the action was necessary, given a series of acts that took place recently.
Putera's Azamuddin Shah's Counsel, Rajan Navaratnam confirmed that a petition pursuant to Section 181 of the Companies Act 1965, had been filed at the Kuala Lumpur High Court Registry.
He said that the relevant papers would be served on all concerned in due course.
Section 181 of the Companies Act 1965 entitles a minority shareholder to invoke this section, when there are concerns of oppression of the minority, by the majority shareholders.
It also refers to situations where there are concerns that the conduct and affairs of the company are being handled in a prejudicial manner, not in the best interest of the company.
Putera Azamuddin Shah's solicitors in their letter, had stated that the company was being managed in an unfair, unwise and prejudicial manner, and that the conduct of its affairs had been contrary to the advancement of stated objectives.
Further to that, he had been prevented from taking part in the company's management and financial affairs.
In the letter of demand, Putera Azamuddin Shah claimed that he was not informed of two resolutions that were passed in an extraordinary general meeting (EGM)held on Feb 1, 2007 to amend the company’s Articles of Association.
Sunshine Fleet is owned by the Selangor Sultan’s sister Tengku Putri Arafiah ibni Sultan Abd Aziz Shah (70 per cent), her uncle Tengku Abdul Samad Shah Sultan Salahuddin Abd Aziz (20 per cent), and her son Putera Azamuddin Shah.
Putera Azamuddin Shah owns 10 per cent of the company. He is also the managing director.
Replacement sub-contractor GMH Healthcare Sdn Bhd, filed a suit last month to wind up Sunshine Fleet, for breach of contract and money owed to it.
The suit was followed by the letter of demand from Putera Azamuddin.
Sunshine Fleet was the main contractor for the new Shah Alam hospital.
