Putera Azamuddin Shah Abdul Aziz has agreed to withdraw the winding-up petition of Sunshine Fleet Sdn Bhd, owned by his mother Tengku Putri Arafiah and his uncle Tengku Abdul Samad Shah.

The out-of-court settlement was recorded by High Court judge Justice Mohamad Ariff Md Yusoff in his chambers. He made no order as to costs.

Putera Azamuddin's lawyer Rajan Navaratnam said the parties have been barred from divulging details of the settlement.

Assisting Rajan was Faznida Abdul Ghani, while Tengku Putri Arafiah was represented by lawyers Jasbeer Singh and AC Devi.

Tengku Putri Arafiah and Putera Azamuddin was supposed to have testified at a hearing this afternoon.

Putera Azamuddi NONE n had on April 27 filed a petition to wind up Sunshine Fleet, the  main contractor of the delayed Shah Alam Hospital.

He had filed the petition under Section 181 of the Companies Act, which allows minority shareholders to refer to the provision if there is discrimination by the majority share holder.

Sunshine Fleet is 70 percent owned by Tengku Putri Arafiah, while Tengku Abdul Samad holds a 20 percent stake. Putera Azamuddin holds the remaining 10 percent. All are the managing directors of the company.

Putera Azamuddin has alleged that the company was improperly managed and with prejudice in the running of the company.

As a result of his actions, he is not allowed to take part in financial and other matters pertaining to the company.

On Sept 23, the Kuala Lumpur High Court had struck out a bid by another petitioner, GM Healthcare Sdn Bhd, to wind up Sunshine Fleet. This followed the absence of Sunshine Fleet's lawyers to hear its petition.

GM Healthcare, had on April 23, filed the petition under Section 218 of the Companies Act 1965, seeking an order for Sunshine Fleet to pay RM10 million.

This provision of law allows the court to wind up a company if it fails to pay its debts.

The Public Works Department had terminated the services of Sunshine Fleet as the main contractor for the troubled Shah Alam Hospital project, in a letter dated Sept 3.
